This is the agreement between you and Orindesk for the use of Orindesk. It applies from the moment you create a workspace. Grey boxes are a plain-English gloss to help you read it — they are explanation, not terms, and where the two differ the clause is what counts.

You need an account to use Orindesk. You are responsible for what happens under it, for keeping the password to yourself, and for the people you invite into your workspace. Tell us promptly if you think somebody has got in who should not have.
You must be old enough to enter a contract where you live, and if you are signing up on behalf of a business you must be entitled to commit it.
New workspaces start with a free trial of 14 days. No card is required to begin one and nothing is charged when it ends — the workspace simply stops being usable until a plan is chosen. Your data is not deleted at that point.
Prices are the ones shown on the pricing page when you subscribe. Subscriptions renew automatically — monthly or annually, whichever you chose — and are charged to the card you gave Stripe. Payment is taken in advance for the period ahead.
A price agreed with you individually stays agreed. If we raise our published prices, an existing subscription keeps the price it was on for as long as it runs without interruption. We will give at least 30 days’ notice by email before a change that does affect you.
If a payment fails, Stripe retries it over about three weeks. We will not switch a workspace off for a card that is simply expiring; we will tell you and expect you to sort it out.
You can cancel at any time and your subscription runs to the end of the period you have paid for. We do not refund part-used periods as a matter of course. If something has gone properly wrong, ask — we would rather sort it out than have you feel cheated.
Each plan includes a number of office seats and an amount of storage. A seat is a user whose role lets them see money or run the office; crew accounts do not count and are not charged for.
Going over the included seats adds the extra-seat charge for that plan to your next invoice automatically. Storage is a limit rather than a meter: reaching it stops new uploads until you free space or move up a plan, and is never billed for silently.
Everything you put into Orindesk — your clients, your staff, your quotes, invoices, photographs and files — remains yours. We claim no ownership of it and no right to use it for anything other than running the service for you. We do not sell it, and we do not use it to train anything.
You can export your records from inside the application whenever you like, without asking us and without your account being in good standing. What we store about you and who else it reaches is set out in the privacy policy.
You are responsible for having the right to hold the information you put in — in particular your clients’ details — and for how you use it.
If you find a security problem, please tell us before telling anybody else. We will not threaten you for reporting one in good faith.
Orindesk sends email on your behalf — quotes, invoices, reminders and, if you use them, marketing campaigns. It goes out in your company’s name with replies coming back to you.
That makes the content your responsibility. Marketing email in particular must go only to people who have agreed to receive it, must say who it is from, and must let them stop it; every campaign carries an unsubscribe link and you must not defeat it. We may suspend sending from a workspace that generates spam complaints, because one sender can get the delivery reputation of everybody else’s mail ruined along with their own.
We aim to keep the service running and to fix problems quickly, but we do not offer a guaranteed uptime figure and you should not plan on the basis of one. Maintenance happens, and occasionally something breaks.
What we actually do about backups: every workspace database is backed up nightly, and those backups are copied to storage in a different data centre from the servers. They are kept for 90 days. That is what lets us put a workspace back after a serious failure.
It is not a substitute for your own records. Keep your own copies of anything you could not afford to lose — the export tools are there for exactly that, and it takes a minute.
Support is by email to [email protected]. We do not promise a response time; in practice we answer quickly.
You can cancel whenever you like, from inside the application or by asking us. Cancelling stops the renewal; the workspace stays usable until the period you have paid for runs out.
We can suspend or close an account that breaks these terms, does not pay, or is being used in a way that puts the service or other customers at risk. Except where something serious is happening, we will tell you what the problem is and give you a chance to fix it first.
Get your data out before you go. When a workspace is deleted its database is dropped and cannot be recovered by us afterwards, and the backups holding it age out within 90 days. Suspension is different and reversible: nothing is deleted, and turning the account back on returns everything.
The service is provided as it is. We do not warrant that it will be uninterrupted or error-free, or that it fits a particular purpose of yours.
Orindesk helps you write quotes, invoices and payroll figures. It does arithmetic; it does not give tax, legal or accounting advice, and the numbers it produces are yours to check before you rely on them or send them to anybody.
We are not liable for indirect or consequential losses — lost profit, lost work, lost business. Where we are liable, our total liability for any claim is limited to what you paid us in the twelve months before it arose. Nothing here excludes liability that the law does not allow us to exclude.
We may change these terms. If a change materially affects you we will email account holders at least 30 days beforehand, and carrying on using the service after it takes effect means accepting it. Each version has a number and a date, and the version you accepted at sign-up is recorded against your account.
This agreement is governed by the law of the State of California, United States, and disputes go to the courts there.
If any clause turns out to be unenforceable, the rest stays in force. These terms and the privacy policy are the whole agreement between us about the service.
